About the position

Neural is seeking an experienced and forward-thinking Legal Counsel to join our team on a contract basis. As we accelerate innovation in AI, geospatial analytics, and SaaS infrastructure, this role is central to advising on legal strategy, ensuring compliance, and safeguarding the company’s intellectual property, data rights, and commercial agreements.

You will serve as the lead internal legal advisor working directly with executive leadership, operations, and product teams. Your focus will include reviewing and drafting key contracts, advising on open-source and data licensing, navigating evolving privacy regulations (e.g., GDPR, CCPA), and assisting with intellectual property protections and partner agreements. You’ll also help establish and document scalable legal processes as we engage with enterprise clients, research institutions, and public sector agencies.

In addition to core corporate counsel duties, you will provide legal oversight for fundraising transactions, including SAFEs, convertible notes, and equity rounds. You’ll support due diligence efforts for potential mergers or acquisitions, as well as ensure that Neural remains compliant with SEC reporting obligations and other U.S. regulatory frameworks relevant to early-stage technology companies. This role is ideal for a tech-savvy attorney who brings a business-minded approach to legal strategy.

Responsibilities

  • Draft, review, and negotiate a wide variety of contracts including NDAs, MSAs, DPAs, SOWs, licensing agreements, and partnership contracts.
  • Advise on legal issues related to SaaS, data use, intellectual property, and open-source software.
  • Provide guidance on regulatory compliance for privacy and data protection (e.g., GDPR, CCPA, HIPAA).
  • Lead or support legal efforts related to fundraising transactions, including SAFEs, convertible notes, equity financings, and cap table implications.
  • Support M&A activities, including due diligence, disclosures, integration planning, and asset transfers.
  • Maintain awareness of and ensure compliance with SEC rules and reporting requirements.
  • Collaborate with external counsel on complex matters or jurisdiction-specific legal questions.
  • Monitor evolving legal trends in AI, data, technology law, insurance law, and securities regulation.
  • Create internal templates, playbooks, and scalable legal operations processes.

Qualification

  • JD from an accredited law school and licensed to practice law in at least one U.S. jurisdiction.
  • 5+ years of legal experience, with significant exposure to technology contracts, software licensing, or SaaS operations.
  • Experience advising on venture financing instruments (e.g., SAFEs, convertible notes), cap tables, and founder equity.
  • Familiarity with M&A processes, transactional due diligence, and corporate disclosures.
  • Strong knowledge of IP, commercial contracting, and open-source software use.
  • High attention to detail, organizational skills, and ability to manage multiple agreements at once.
  • Excellent communication and negotiation skills.

Preferred Qualifications

  • Experience supporting startups or high-growth private companies.
  • Prior work with government procurement, FAR and ITAR clauses, or public sector contracting.
  • Familiarity with AI, geospatial, or data-intensive regulatory landscapes.
  • Proficiency in corporate governance and board documentation processes.
  • Ability to translate complex legal matters into actionable internal guidance.
